O’Neill Lifestyle Fashion Brand Receives Final Patent : Superfreak Boardshort Series

O’Neill Clothing, the original surf, snow and youth lifestyle brand, has officially received the product patent for its top-selling Superfreak Boardshort Series.   Inspired by Jack O’Neill’s famous wetsuit invention, the Superfreak Series led the way for many of the technical boardshorts currently on the market.  The Superfreak incorporates patented technology, in which a stretchable panel runs along the rear of the short, providing greater flexibility.  The less flexible areas of the loose-fitting boardshort allow for continued durability and comfort. The result is a flexible boardshort that doesn’t compromise form or durability for comfort and performance.

The new patent marks the latest addition to O’Neill’s list of more than 20 awards and patented products

Heavy Rains Damage Cotton Crop in Sindh

At least 40 percent of cotton crop has been damaged in Sindh due to torrential rains, causing flood in lower parts of cotton belt, market sources said here Saturday.

Chairman Cotton Broker Forum Naseem Usman told APP that only about 500,000 bales have reached the market while rest of cotton was in the field when the floods hit Tharparkar, Hyderabad, Badin and Thatta districts.
He said that Sindh was expected to harvest 4.5 million cotton bales this year as cultivation area under cotton had increased by 30 to 40 percent this season in Hyderabad, Mirpurkhas and Badin.

But after this damage, the crop would fall by 1 to 1.2 million bales this year in Sindh, he added.

Domestic Textile Firms Hit by Duty-Free Imports from Bangladesh

In a major setback to the already struggling domestic textile industry, the government may remove 61 items, including 48 readymade garments, from the list of protected goods India has so far maintained under Safta, its free trade agreement with SAARC countries.

In a surprise announcement recently, Anand Sharma, the Union commerce minister, said the government was considering removing the restriction on import of readymade garments from Bangladesh ahead of the prime minister’s visit on September 6-7. Bangladesh has been pitching for this for quite some time.

“The decision will hamper the entire Indian textile industry, resulting into massive job losses. Most textile industry including power looms, spinning and dyeing, belongs to the unorganized sector, which has been struggling with low export orders. It would worsen the industry’s condition if the government gives prominence to the Bangladeshi textile industry at the cost of India,” said Shishir Jaipuria, chairman of the Confederation of Indian Textile Industry (Citi).

Textile Workers to Go on Strike Large Factory in Egypt

Twenty-two thousand workers at the Egypt Weaving and Textile Company in Mahallah city, the country’s largest public sector textile factory, have announced that they will begin an open-ended strike on 10 September.

On Saturday workers issued a statement that outlines their grievances and demands and asked for public support.

Workers demand that the government of Prime Minister Essam Sharaf increase its capital investment in the company and guarantee adequate supplies of raw cotton for production.

They also want the government to raise the minimum wage in order to keep up with rising inflation levels and to release 2-month-old outstanding merit pay checks.

In their statement, Mahallah workers said that they plan to struggle, not only to improve their own lives, but also to win a decent standard of living for all Egyptian workers.

Vera Wang Advice September 6th 2011

Here are some comments from Vera Wang from September 6th 2011.

“Mix up the reception with a whimsical seating plan of different shaped tables or add some intrigue with an unexpected proportion. Combine rectangles, squares, rounds and ovals or set up an extra long table for the wedding party. The table where the bride and groom are seated should always stand out from those of the guests either with shape, placement in the room or more extravagant decoration.

For large receptions, find a way to acknowledge those guests who are seated the furthest away – I suggest more prominent centerpieces or a configuration similar to the wedding party. It’s never nice to feel lost at the fringes. Try to seat those who like to dance as close to the dance floor as possible so they can get the party started! – XO, Vera”

Liz Claiborne Announces Mexx Joint Venture Agreement

Liz Claiborne, Inc. recently announced that it has agreed to sell its global Mexx business to a joint venture in exchange for 18.75% of the common equity of the joint venture and total cash consideration of $85 million, subject to working capital closing adjustments, which includes $60 million of ABL facility debt that is expected to be assumed by the joint venture and refinanced at closing. The Gores Group will own an 81.25% majority interest in the joint venture and has also committed to supporting the business through its ongoing turnaround. The global Mexx business will continue to be led by Thomas Grote as Chief Executive Officer, while Lloyd Perlmutter will continue as Chief Executive Officer of Mexx Canada. The transaction is expected to close in the fourth quarter.

Transaction Highlights:

  • strengthens Liz Claiborne’s financial position;
  • enables the Company to de-consolidate the losses from Mexx;
  • requires no further cash investment in Mexx by the Company;
  • receives total cash consideration of $85 million, net of working capital closing adjustments, which further de-levers the Company, contributing to its goal of reporting 2011 year end debt below that of 2010’s year end debt of $578 million; and
  • retains an 18.75% interest in the joint venture which gives the Company and its shareholders the ability to participate in the long-term growth potential of Mexx.

William L. McComb, Chief Executive Officer of Liz Claiborne, Inc., said: “We’ve brought the Mexx European business to the early stages of a true turnaround. But there is more to be done, and in uncertain times and true market volatility, de-risking became essential. This transaction balances risk mitigation, debt reduction, and ongoing upside realization in just the right mix for our shareholders. The forecasted 2011 Adjusted EBITDA loss of approximately ($25) million associated with the global Mexx business will be eliminated. The Gores Group is an ideal partner for the Mexx business given its extensive experience in successful corporate carve-outs and growing presence in the apparel retail sector. With 2010 revenues of over $730 million, we believe the Mexx business will ultimately thrive under Thomas Grote’s continued leadership as a private enterprise after the completion of this transaction.”

Mr. McComb concluded: “We’ve made a lot of important changes in the past few years, primarily transitioning Liz Claiborne, Inc. to be a more brand-centric and retail-based company, and every decision we make is driven by how to do so as effectively, efficiently and dynamically as possible. At the close of this transaction, we will be a more capital efficient, growth-oriented company and will be able to fully turn our attention to building and growing our core portfolio of global lifestyle brands.”

Thomas Grote, Chief Executive Officer of Mexx, said: “Taking the Mexx business private is a logical and important step. We have identified a winning product and merchandising direction that re-activates the strong positive attributes of the Mexx brand, and we are gaining traction now. The new partnership between Gores and Liz Claiborne will give us the ability to fully carry out our work and maximize Mexx’s full potential.”

Alec Gores, Founder and Chairman of The Gores Group, said: “We are excited to partner with Liz Claiborne, Inc. and to back this management team to continue the turnaround efforts which are well underway. This transaction serves as a prime example of our ability to apply our extensive carve-out experience to the retail sector, and we see an excellent opportunity to create value and rebuild a great brand.”

Perella Weinberg Partners advised Liz Claiborne, Inc. on the transaction and Paul, Weiss, Rifkind, Wharton & Garrison LLP served as legal counsel.

Liz Claiborne, Inc. will sponsor a conference call at 4:30pm EDT on Tuesday, September 6th to discuss this transaction. The dial-in number is 1-888-694-4676 with pass code 97317036. The web cast and slides accompanying the prepared remarks can be accessed via the Investor Relations section of the Liz Claiborne website at www.lizclaiborneinc.com. An archive of the webcast will be available on the website. Additional information on the results of the Company’s operations is available in the Company’s Form 10-Q for the second quarter of 2011, filed with the Securities and Exchange Commission.

Giambattista Valli Fashion Designer Profile

Born and raised in Rome, Giambattista Valli has been influenced by his heritage, the movies of Antonioni and inspired by French fashion through the watercolors of Yves Saint Laurent and the drawings of Gruau. Pursuing his dream, Valli enrolled in the Istituto Europeo del Design in 1986 and then in an illustration class at Central St. Martin’s School of Arts in London in 1987. Returning to Italy, he studied under Roberto Capucci and was introduced to the dramatic haute couture clothes and the bursting colors of the Roman master. After a two year period with Capucci, the Fendi family called him to oversee, as Senior Designer, the newly born Fendissime ine. There he experimented with prêt-à-porter in the world of the young, hip Roman clientele. Travelling restlessly between collections, he filled his imagination and mind continuously with the many influences of India’s Mina’s songs, New York of Halston, Antonio Lopez and Bianca Jagger, Paris with Jeanne Moreau, Fellini’s costumes and the women of the café society who would become an important source of inspiration for the times to come.

Appointed Senior Designer for Krizia in 1995, Valli then quickly made his two great dreams become a reality in 1997. After moving to Paris and the opportunity to combine his prêt-à-porter and couture sensibilities, he met Emanuel Ungaro, for whom he headed the design studio alongside until 2001. Launching his own collection in March 2005, Valli held his first solo show in Paris. Showing twice a year during Paris Fashion Week, his collections are sought after by international style icons who have rapidly endorsed his talent by wearing his clothes.

O’Neill Fashion Fashion Company Summary August 2011

O’Neill, the original California surf, snow and youth lifestyle brand, was founded in 1952 when a young man named Jack O’Neill took his unstoppable passion for surfing and used it to beat Mother Nature at her own game. Pioneering the world’s first neoprene wetsuit, Jack had successfully found a way to extend his surf sessions in the bone-chilling breaks of Northern California. He opened up the garage doors to his first surf shop in Santa Cruz soon after.

While many things have changed since those humble beginnings, Jack’s initial vision of producing functional and innovative boardriding and active lifestyle products continues to lie at the core of everything the company does. O’Neill’s core values – innovation in style and technology – have seen the brand devote itself wholeheartedly to the evolution of the action sports lifestyle. From the first ever neoprene wetsuit and surf leash, to the world’s first stitchless boardshorts and range of groundbreaking wearable electronics, O’Neill’s progressive spirit will always drive the company forward.
